S Corp TaxationThe profit has a person

Ordinary profit is reported by the shareholder, on that person's return, and the company form alone cannot name the rate.

The K-1 carries the figure, not the rate

Shareholders report the flow-through on their own returns and are taxed at their individual rates. Form 1120-S is the company return. Schedule K-1 is what arrives at the shareholder's table. Upload is just the word for sending that form. A sample dollar will not be written where the rate would go.

People hope the company has a rate the way a price tag has a rate. It does not. Two shareholders in the same company can face different personal results from the same K-1, because the rest of their year is not the same. We will not pretend the company page contains that answer.

If you have the K-1 and not the personal return, we can still say where the profit is supposed to be reported. We cannot say what it will cost. That honesty is the point of the page.

Texas still has a May report

Federal character does not file the Comptroller report. May remains for a Texas entity even when the federal profit passed through to the people. The rates and the thresholds on the Comptroller page were read and are left there on purpose. Bring the last Texas confirmation and set it beside the K-1.

A company that owes nothing can still have a report to send. Skipping the report because the federal profit passed through is how a quiet year becomes a letter. We prepare that report from months the bank already agrees with, and you see the figures before they go.

A reading is not a signature on the statements

Placing a dollar on the right return is a reading of the forms. It does not sign the statements, and it does not stand in for a review a lender asked for. If a third party wants assurance, we say so on the first call and send you to a firm that can sign that kind of report. The disclosures page writes that limit out, with the statute names beside it.

The work we will do is the books and the payroll we set up on a provider you run, the statements without an assurance report, and the return. Taken together, that is the year we prepare. It is not a cut-down audit wearing a smaller label.
