S Corp TaxationA loss can sit unused
Pass-through includes losses, and losses still wait on basis. Unknown basis means an unknown loss, and that is an honest reading.
Say what basis you have
The K-1 is not permission
A loss printed on the K-1 feels like a benefit. It is a candidate. Stock basis and debt basis decide whether it can be used this year or whether it waits. Suspended is the word for a loss that is real and not yet usable. We name the word. We do not calculate a basis we have not seen.
If last year's basis worksheet is in a drawer, that drawer is the start. If nobody has tracked basis since the company opened, the loss cell stays unknown until the history is rebuilt from the returns and the capital accounts. Rebuilding it is slow work. Guessing it is how a later year breaks.
Equity has to be able to tell the truth
The equity accounts have to separate capital contributed, profit passed through, and cash taken out. If those are one bucket called owner, the basis story cannot be read from the books. Year end is when that rollforward either works or confesses. We would rather it confess in October than on the day the return is due.
The second Saturday of October, the one that usually puts the Red River game in the Cotton Bowl, is also a fine week to notice that basis is a stack of prior years and not a feeling. The game ends. The basis page does not, until someone writes it down.
The deduction people ask about next
A qualified business deduction may be open on the personal return, on Form 8995 or Form 8995-A, when the facts allow it. The conditions are in the instructions. Dollar thresholds wander through secondary writeups and disagree with each other, so they are omitted here. No percent is printed as a promise.
Bring the shareholder's return, or say it has not been started. We will see whether the line is even open. A loss year and a deduction year are not the same mood, and we will not talk about both as if they were a single lever.
Where is the basis page
You will be talking to the Steven Palmieri practice.
